| The ProMatrix Reseller Program provides for two categories
of resellers: |
- ProMatrix Reseller: ProMatrix
Resellers are individuals or organizations who resell ProMatrix Products
to their customers. ProMatrix Resellers can purchase ProMatrix Products
from the ProMatrix Corporation at discounted prices. ProMatrix Resellers
promote the sale of ProMatrix Products in whatever way is beneficial to
them and is appropriate for their customer base. If you are interested

- ProMatrix International Partner:
A ProMatrix International Partner is a ProMatrix Reseller located
in a non-English speaking country who provides product promotion,
documentation and support for ProMatrix Products in the language of that

ProMatrix Resellers - Terms and Conditions
|
Eligibility Requirements
|
| To resell a ProMatrix Product, you must: |
- First purchase one license of that product from the ProMatrix
Corporation at whatever price is in effect at the time of your
purchase.
- Read the terms and conditions described on this page and indicate
your acceptance of them by clicking the "I Accept" link at the bottom of
this page.
- Apply to become a ProMatrix Reseller by completing and submitting
the ProMatrix Reseller form that will appear when you click "I Accept".
- Be accepted by the ProMatrix Corporation as a ProMatrix Reseller.
The ProMatrix Corporation reserves the right to accept or reject a
ProMatrix Reseller application for whatever reason it deems appropriate.

After you meet these eligibility requirements, you will be given a
ProMatrix Reseller's Account Number, which will be used to credit
purchases to your account. |
ProMatrix Reseller Discounts
|
| A ProMatrix Reseller can purchase a ProMatrix Product at a
discount based on the cumulative number of licenses of that product that the
reseller has purchased (including the current purchase). The discounts based
on the cumulative number of licenses purchased are shown in the following
table: |

Product Purchases and Delivery
|
| All ProMatrix Reseller purchases must be made directly from
the ProMatrix Corporation. When making a purchase, be sure to provide your
ProMatrix Reseller's Account Number to insure that your purchases are
credited to your account. All Reseller purchases will be shipped directly to
the Reseller. ProMatrix Products purchased by a ProMatrix Reseller are not
returnable. |
License Registration

|
End-users purchasing from a ProMatrix Reseller must
register their license of a ProMatrix product with the ProMatrix
Corporation to receive support services, maintenance updates and upgrade
discounts. End-users may register by sending an email to
sales@promatrix.com.
The registration email should include: |
- End-user's name, company name, address, email address and telephone
number.
- The names of the ProMatrix Products they are registering.
- The name of the ProMatrix Reseller from whom they purchased the
licenses.

Other Terms and Conditions
|
|
ProMatrix Resellers must adhere to the ProMatrix
Corporation's software return policy as well
as the warranty and license agreement.
|
This agreement may be terminated by either
party at any time. The suggested retail selling price as well as the
Reseller discounts may be changed at any time with no prior notice
required. The terms and conditions of this agreement may be changed
at any time without prior written notice. The liability of ProMatrix
Corporation, its partners, stockholders and subcontractors shall be
limited to the actual purchase price of the software. Under no
circumstances shall ProMatrix Corporation, its stockholders, officers,
partners or subcontractors be in any way liable for loss of business,
penalties or other costs associated with use of ProMatrix software.
